1. Acceptance of Terms

Welcome to Pizza Depot. These Terms and Conditions ("Terms") govern your use of the Pizza Depot website (pizzadepot.ca), mobile application, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and Pizza Depot ("we," "us," or "our"). We may update these Terms from time to time, and your continued use of our Services constitutes your acceptance of any changes.

2. Eligibility

To use our Services, you must be at least 13 years old. If you are under 18, you may only use our Services with the involvement and consent of a parent or legal guardian. By using our Services, you represent and warrant that you meet these eligibility requirements.

Certain features of our Services, such as placing orders or creating an account, may have additional age or other eligibility requirements, which will be specified at the time you access those features.

3. Account Registration and Security

To access certain features of our Services, you may need to create an account. When you create an account, you agree to:

4. Ordering and Payment

4.1 Placing Orders

When you place an order through our Services, you are making an offer to purchase the products you have selected. We reserve the right to accept or decline your order at our discretion.

Factors that may result in us being unable to accept your order include:

• Product unavailability
• Errors in pricing or product information
• Inability to process payment
• Delivery address outside our service area
• Suspected fraudulent activity

4.2 Pricing and Availability

All prices displayed on our Services are in Canadian dollars and include applicable taxes. Prices, offers, and products are subject to change without notice. We make every effort to ensure that our menu and pricing information is accurate, but errors may occur. In the event of a pricing error, we reserve the right to cancel any orders placed for products listed at an incorrect price.

4.3 Payment

We accept various payment methods as indicated on our Services. By providing payment information, you represent and warrant that:

• You are authorized to use the payment method
• The payment information you provide is accurate and complete
• You will pay the charges incurred at the posted prices, including delivery fees and applicable taxes

Payment is processed at the time you place your order. In some cases, we may pre-authorize your payment method for the amount of your order before it is confirmed.

4.4 Promotional Codes and Discounts

We may offer promotional codes or discounts from time to time. These promotions:

• Cannot be combined with other offers unless specifically stated
• May have expiration dates or other restrictions
• Are not transferable or redeemable for cash
• May be withdrawn at any time without notice

5. Delivery and Pickup

5.1 Delivery Areas and Fees

Delivery is available only in selected areas. Delivery fees may vary based on your location and may change without notice. When you place an order for delivery, we will indicate the applicable delivery fee before you confirm your order.

5.2 Delivery Times

Any delivery times provided are estimates only and are not guaranteed. Delivery times may be affected by factors outside our control, including but not limited to weather conditions, traffic, and high order volume periods.

5.3 Delivery Instructions

You may provide specific delivery instructions when placing your order. While we will make reasonable efforts to accommodate these instructions, we cannot guarantee that all instructions can be followed.

5.4 Pickup Orders

If you select pickup (carryout), you will be responsible for collecting your order from the designated Pizza Depot location at the specified time. Orders not collected within 30 minutes after the designated pickup time may be disposed of, and no refund will be provided.

5.5 Order Accuracy

You are responsible for ensuring that your order and delivery information are accurate. We are not responsible for orders delayed or delivered to incorrect addresses due to inaccurate information provided by you.

6. User Conduct

When using our Services, you agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use our Services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any part of our Services or any systems or networks connected to our Services
• Interfere with or disrupt the operation of our Services or servers or networks connected to our Services
• Impose an unreasonable or disproportionately large load on our infrastructure
• Introduce viruses, trojans, worms, logic bombs, or other harmful material to our Services
• Collect or harvest any information from our Services, including personal information, without authorization
• Use our Services to send unsolicited communications
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
• Engage in any conduct that restricts or inhibits any other user from using or enjoying our Services

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including removing the offending content, suspending or terminating the account of such violators, and reporting them to law enforcement authorities.

7. Intellectual Property Rights

7.1 Our Intellectual Property

Our Services and all content, features, and functionality (including but not limited to text, graphics, logos, button icons, images, audio clips, data compilations, and software) are owned by Pizza Depot, our licensors, or other providers and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for personal, non-commercial purposes in accordance with these Terms. This license does not include:

• Modifying or copying our materials
• Using any materials for commercial purposes
• Attempting to decompile or reverse engineer any software contained in our Services
• Removing any copyright or other proprietary notations
• Transferring the materials to another person or "mirroring" the materials on any other server

This license shall automatically terminate if you violate any of these restrictions and may be terminated by us at any time.

7.3 Trademarks

The Pizza Depot name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Pizza Depot or our affiliates. You may not use these marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on our Services are the trademarks of their respective owners.

8. User-Generated Content

8.1 Content Submission

Our Services may allow you to submit reviews, comments, suggestions, ideas, or other materials ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media.

8.2 Content Standards

You represent and warrant that your User Content:

• Is accurate and not misleading
• Does not violate any applicable law, regulation, or third-party right
• Does not contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable
• Does not promote discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group
• Does not infringe any patent, trademark, trade secret, copyright, or other intellectual property rights
• Does not contain any unauthorized advertising, promotional materials, pyramid schemes, or other forms of solicitation

8.3 Content Monitoring

We do not actively monitor User Content, but we reserve the right to review, remove, or edit any User Content in our sole discretion. We are not responsible for the User Content posted by users of our Services.

9. Disclaimers

9.1 Service Disclaimer

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Accuracy Disclaimer

We do not warrant that the information on our Services is accurate, complete, reliable, current, or error-free. We make reasonable efforts to display our menu items and their ingredients accurately, but variations may occur. If you have food allergies or specific dietary requirements, please contact us directly before placing an order.

9.3 Technical Disclaimer

We do not guarantee that our Services will be uninterrupted, secure, or error-free, or that defects will be corrected. We are not liable for any disruption or loss you may suffer as a result of such interruptions or errors.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PIZZA DEPOT, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, OUR SERVICES, ANY WEBSITES LINKED TO THEM, ANY CONTENT ON OUR SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless Pizza Depot, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our Services, including, but not limited to, your User Content, any use of our Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from our Services.

12. Termination

We may terminate or suspend your access to all or part of our Services, including your account, without notice, for any conduct that we, in our sole discretion, believe is in violation of these Terms or is harmful to other users of our Services, us, or third parties, or for any other reason.

If you wish to terminate your account, you may simply discontinue using our Services or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We may revise these Terms from time to time at our sole discretion. The most current version will always be posted on our website with the "Last Updated" date. If we make material changes to these Terms, we will notify you by email or through a notice on our home page.

14. Governing Law

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or our Services shall be instituted exclusively in the courts of the Province of Ontario, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.
